Terms and Conditions 

The American Association of Advertising Agencies, its affiliates and agents ("AAAA") make this website, www.aaaa.org/bizdevblog (“the Site”), available for your access and use subject to these Terms of Participation. Please read these Terms of Participation carefully before accessing or using the Site.


Acceptance of Terms

By accessing or using the Site in any way, including posting or otherwise submitting Content (as defined below), downloading Content or merely browsing the Site, you agree to and are bound by the terms and conditions set forth in this document and in any changes thereto that AAAA may publish from time to time (collectively, the "Terms of Participation"). If you do not agree to all of the terms and conditions contained in the Terms of Participation, do not access or use the Site.


Content of the Site

The Site allows users to post or otherwise submit information, data, text, photographs, graphics, messages and/or other content ("Content"). AAAA shall have the right, but not the obligation, to monitor the Content of the Site, to determine compliance with these Terms of Participation and to satisfy any law, regulation or authorized government request. AAAA shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on the Site. Without limiting the foregoing, AAAA shall have the right to remove any Content that AAAA, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

For all Content that you post or otherwise submit to the Site, you grant AAAA an unrestricted, irrevocable, non-exclusive, worldwide, royalty-free and fully paid up license under all copyright, trademark, trade secret, patent and other proprietary rights (collectively, “Intellectual Property Rights”) to use, reproduce, publicly display, publicly perform, copy, edit, modify, translate, reformat, transmit and distribute such Content, with or without having your name attached to such Content, in any manner or form and for any purpose, with full rights to sublicense such rights through multiple tiers of distribution.


Rules of Conduct

You agree not to use the Site to:

a. Post or otherwise submit Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;

b. Collect, harvest, or mine personal data about other users;

c. Impersonate any person or entity (including an AAAA agent or moderator), or falsely state or otherwise misrepresent your affiliation with a person or entity;

d. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any posted or otherwise submitted Content, including your name and the submission date;

e. Post or otherwise submit any software, programs or files that are harmful or disruptive of another’s equipment, software or other property, including any corrupted files, time bombs, Trojan horses, viruses and worms;

f. Post or otherwise submit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation, except in areas that are expressly designated by AAAA for such purposes;

g. Post or otherwise submit any calls for boycotts, refusals to do business, agreements to fix prices or rates, or any other form of anti-competitive suggestions or recommendations;

h. Post or otherwise submit Content that infringes or violates any party's Intellectual Property Rights, including, but not limited to, using third party copyrighted materials, without appropriate permission, using third party trademarks without appropriate permission or attribution, or using or distributing third party information (whether or not protected as a trade secret) in violation of a duty of confidentiality.


Indemnification

You agree to indemnify and hold AAAA harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (a) your Content and any other content (e.g. computer viruses) that you may submit, post to or transmit through the Site (including a third party’s use of such Content (e.g. reliance on the accuracy, completeness or usefulness of your Content)); (b) your access to or use of the Site or any Content (including any use by your employees, contractors or agents and all uses of your account numbers, user names and passwords, whether or not actually or expressly authorized by you, in connection with the Site or any Content); (c) your connection to the Site or any Content; (d) your violation of the Terms of Participation; (e) your infringement of any third party’s Intellectual Property Rights when using any materials made available on the Site or in any Content; (f) your violation of any rights of any third party; or (g) any dealings between you and any third parties advertising or promoting via the Site or any Content.
